Infoease Ltd ("InfoEase") provides services and software ("service") on its web site and associated sub domain sites ("web site") subject to the terms and conditions set out below.
The terms "Infoease Ltd","InfoEase","we" or "us" refer to the owners of the web site and suppliers of the service. InfoEase is registered in Scotland as company number 423008 at the registered address 8 Northfield Terrace, Edinburgh, EH8 7PX.
The term "you" refers to the user or visitor to the web site.
By continuing to use this web site and the services available on it, you are accepting these terms and conditions.
The terms and conditions between you and us come into effect on your arrival at our web site.
Terms of use
You must supply the company name, your own name, a valid email address and contact address to use the service.
The content of the web site or service may change without notice.
InfoEase reserves the right to refuse you the right to use this service.
You understand that the Service can be used for transmission of your content, and that during processing, your content, including invoices, payment reminders, and personal messages, may be transferred unencrypted over the internet.
You may not use the service to transmit any viruses, worms, or malicious content.
You will not use this service in any way which breaches, infringes violates and/or is contrary to any law, by-law, statute and/or regulation or code of conduct or any other parties' rights (including but not limited to Intellectual Property Rights and/or privacy rights)
You will not misuse any information that has been posted on the service.
You will not attempt to gain unauthorised access to any information available on the web site or to any of the networks used in providing the Service.
You will not copy or publish, in whole or in part any of the information on the web site
You will not use this service to post any information which is in our opinion offensive, sexually explicit, vulgar, indecent, abusive, harmful, threatening, intolerant, racist, inflammatory or obscene.
You will not use the website to harass, annoy or stalk another person.
Your username and password are personal to you and must not be divulged to any other person. You may not authorise another person to log on under your account details on your behalf.
You must notify us immediately if you believe that someone else has access to your account details. In such a circumstance, you should change your password at the earliest opportunity.
Fees and Payment
If you subscribe to our InfoEase Standard or InfoEase Plus service then you will be invoiced monthly in arrears.
If you subscribe to our InfoEase One service then you will be invoiced annually in advance (14 days after registration).
Payment terms are 30 days from the invoice date.
You will be charged a standard fee based on the account type and number of active users registered to your account on the last day of the calendar month.
The fees charged will be displayed on the InfoEase web site.
VAT is payable on all invoiced amounts.
We reserve the right to suspend or cancel any accounts which fail to comply with these payment terms. Suspension or cancellation will not occur without contact and prior attempts at resolution.
Fees are non-refundable.
Cancellation and Termination
You may cancel the service at any time by writing to InfoEase Ltd at the registered address.
A 30 day notice period will apply from the letter date.
We reserve the right to cancel the service at any time with 90 days written notice with the following exceptions
We reserve the right to suspend or cancel the account on non-payment of fees, where reasonable attempts at payment resolution have failed.
We reserve the right to suspend or cancel the account where it is deemed that misuse, abuse or other serious breach of the terms and conditions of use have occurred.
All working data held under your account will be deleted upon cancellation, except for information which need to be retained for our financial recording.
Rights to change terms
We reserve the right to change the terms and conditions of the service. Notice will be given in advance of any change to the terms and conditions.
We reserve the right to change the pricing structure for the use of this service. Notice will be given in advance of any price changes.
Copyright and ownership
InfoEase Ltd owns the intellectual property rights to any and all protected components that make up the web site or service. This includes, but is not limited to the service name, logo, artwork, interface design and source codes.
You may not copy, modify, adapt, reproduce, distribute, reverse engineer, decompile, or dissemble any aspect of the Service InfoEase Ltd owns.
Warranty
Your use of the Service, including any content, information or functionality contained within it, is provided "as is" and "as available" with no representations or warranties of any kind, either expressed or implied, including but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. You assume total responsibility and risk for your use of this Service.
Indemnification
You will indemnify InfoEase Ltd from and against all claims brought by an individual against InfoEase Ltd arising from your breach of your obligations under these terms and conditions.
InfoEase Ltd makes no warranties regarding
ability to use the Service,
your satisfaction with the Service
that the Service will be available at all times, uninterrupted, and error-free
the accuracy of mathematical calculations performed by the Service, and
that bugs or errors in the Service will be corrected.
Limitation of liability
InfoEase Ltd will not be liable for incorrect data provided by you as part of the service
In no event shall InfoEase Ltd be liable to you for any loss of business, loss of opportunity or loss of profits or for any other indirect or consequential loss or damage whatsoever. This shall apply even where such a loss was reasonably foreseeable or InfoEase Ltd had been made aware of the possibility of you incurring such a loss.
InfoEase will not be liable for any damage or loss that may result from your failure to protect your login information.
Governing law
These terms and conditions are governed by the law of Scotland and all parties submit to the exclusive jurisdiction of the Scottish courts.
